The Board of Directors is head of the management of the business. Each management segment is represented, often including marketing, human resources, technology, finance. Some businesses, such as private hospitals, will have unique department heads, such as Chief Surgeons Officer. The Board of Directors pioneers the overall strategy for the business, which the management then implements in the various divisions.

A board offers direction to the leaders of the organization, like the CEO, for example. They are usually experience business people themselves, though it is not uncommon to see some of seats offer as payment for favors. The board serves to guide, and to hopefully be part of the checks/balances.
