State guidelines determine an LLC set up and the fees required. Setting up a business as an LLC prevents those involved from being held personally liable for the debts of the business. It also provides benefits relative to taxation. The principals of the LLC are the employees of the LLC. There is no requirement regarding the number of employees.

Forming an LLC requires registering with a state agency. Registration fees can vary by state, but you can choose to register in just about any state. You should note, however, that many states charge much more to fix a faulty registration than to simply register, and so hiring an attorney to register you is usually recommended.

Each state has different laws regarding the formation of LLC's but most of them allow people to create LLCs online through the department of state's website. The formation of a limited liability company is designed to protect the owners and has very little to do with employees. All that you need is the proper forms and a filing fee.

A limited liability corporation simply required more than one owner. A minority stockholder with 1% of the ownership could be sufficient, such as giving a spouse or child a very small minority share.
