Can you put a non-compliance clause in a contract?

Yes. A non-compliance clause must be very specific and clearly set forth what will trigger this clause of the contract. When dealing with the sale of merchandise, you must look at your State's Uniform Commerical Code. Any non-compliance clause must also set forth what will happen if a violation occurs. It should not be punitive in nature.

A non-compliance clause is allowed to enforce the contract using financial penalties. However, the compliance required must not require someone to commit something illegal.

You can add anything to a contract that is not prohibited by law. Clauses setting forth penalties for non-compliance are actually quite common and perfectly legal, if both parties agree to them.

You can put any thing you want to in a contract. I have seen several contracts that had a cease of service in compliance was not followed according to pre-determined arrangements.
