Start with a happy birthday greeting and then follow up with an apology for the lateness of the card or phone call. It is always nice to mention that you hope that they had a great day and don't try to make excuses for forgetting. Just apolgize and remember it is about them not you.

First, an apology for being late should be present in the birthday wish. Then, the birthday wish should proceed as normal. For example: "Happy belated birthday, I'm sorry I'm late."
