You will need to install AutoCAD and Acrobat then import your CAD to Acrobat and finally your Acrobat to Illustartor. There is not a way to convert to Illustrator directly acttualy.

you first want to convert your CAD file to one that can be imported. Then open and run adobe illustrator. Select your file and import it into adobe illustrator. Make sure you convert the file first into one that adobe can read because otherwise it will not work for you.

There may be a preference in CAD to export them out with your file. I googled your issue and most forums state CAD 2004 can export xrefs to import.
